Terms of Use & Sale

1.Agreement to these terms

These Terms of Use & Sale (the “Terms”) are a binding agreement between you and Qureshi Labs LLC (“Qureshi Labs,” “we,” “us” or “our”). They govern your use of qureshilabs.com (the “Site”) and every purchase of products from us (the “Products”).

By accessing the Site, creating an account, confirming the age and research verification, or placing an order, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy and Refund & Returns Policy, which form part of these Terms. If you do not agree, do not use the Site and do not purchase Products.

2.Research use only

All Products are sold strictly for in vitro laboratory research and analytical purposes. “In vitro” means studies performed outside a living organism, such as in test tubes, cell cultures or analytical instruments.

Products are not drugs, foods, dietary supplements, cosmetics or medical devices. They have not been approved, cleared or evaluated by the FDA or any other regulatory authority for safety or effectiveness in humans or animals. Any label, name, description or COA associated with a Product identifies the research chemical only. It is not an indication, dosage, or claim of any benefit.

3.Who may buy

By using the Site or placing an order, you represent and warrant that:

• you are at least 21 years old and have the legal capacity to enter into this agreement;
• you are a qualified researcher (or are purchasing on behalf of a research organization, laboratory, university, foundation or company) with the training, knowledge and facilities to handle research chemicals safely;
• you are purchasing Products solely for lawful in vitro laboratory research and will use them only for that purpose;
• you will not use, sell, resell, give or otherwise transfer any Product for human or veterinary use, or to anyone you know or suspect intends such use;
• you will comply with all federal, state, local and international laws and regulations that apply to purchasing, possessing, using, storing, shipping and disposing of the Products; and
• all information you give us, including your name, address and research status, is true, accurate and complete.

We rely on these representations when we accept your order. We may ask you to verify your identity, age, affiliation or intended research use at any time.

4.Prohibited uses

You agree that you will not:

• use any Product in or on humans or animals, or for clinical, medical, diagnostic or therapeutic purposes;
• repackage, relabel, compound or market any Product as a drug, supplement, cosmetic, food or treatment, or resell Products to consumers;
• make or publish any claim that a Product is safe, effective or suitable for human or animal use, including in reviews, comments, social media, videos or affiliate content;
• ask our staff for dosing, administration, cycling, stacking or other human-use guidance (we will not answer, and such requests may lead to order cancellation); or
• use the Site for any unlawful purpose, to interfere with its operation, or to access data or accounts you are not authorized to access.

5.Our right to refuse or cancel

We may refuse, limit, hold or cancel any order, close any account, and decline future sales, at our sole discretion and without liability, including where:

• any communication, review, note, account name or other information indicates or suggests that a Product may be used for human or veterinary purposes;
• we cannot verify your age, identity, research status or payment;
• we suspect fraud, resale for human use, or a breach of these Terms; or
• shipping the order would be unlawful in the destination.

If we cancel an order after payment, we will refund the amount paid for the cancelled Products, except where the law or a fraud investigation requires otherwise.

6.No medical advice

All content on the Site, including product descriptions, articles, COAs, emails, social media posts and support replies, is provided for general informational and research reference only. Nothing we publish or say is medical, veterinary, legal or professional advice, and nothing should be read as a recommendation to use any Product in humans or animals. References to published scientific literature describe existing research and are not claims about our Products. Always consult qualified professionals for questions about health.

7.Handling, storage and safety

Research chemicals can be hazardous. Their toxicological properties may not be fully known. You are solely responsible for:

• making sure Products are handled only by trained personnel in a suitable laboratory setting, using appropriate personal protective equipment and good laboratory practice;
• storing Products as directed (typically cool, dry and away from light, and refrigerated or frozen once reconstituted), and out of reach of children, the public and animals;
• obtaining and following any safety data and institutional safety procedures that apply to your work; and
• disposing of Products, solutions and containers in line with all applicable laws and regulations.

8.Product information and certificates of analysis

We aim to describe Products accurately and publish third-party Certificates of Analysis (COAs) for our batches. A COA reflects the results reported for the specific batch tested, at the time of testing, by the laboratory named on it. Product images are for illustration, and packaging, labels and appearance may vary. We do not guarantee that a Product is suitable for any particular research application. Assessing suitability is your responsibility. We may correct errors in descriptions, images, specifications or availability at any time.

9.Orders, pricing and payment

• Order acceptance. Your order is an offer to buy. A contract forms only when we ship the Products. An order confirmation email is not acceptance.
• Pricing. Prices are in U.S. dollars and may change without notice. If a Product is listed at an incorrect price because of an error, we may cancel the order and refund you, even after confirmation.
• Taxes and fees. You are responsible for any applicable taxes, duties and fees.
• Payment. You must provide valid payment details you are authorized to use. Orders are processed after payment clears. Chargebacks filed for orders that were delivered as described may lead to account closure and recovery action.
• Quantities. We may limit quantities per order, customer or address.

10.Promotions, rewards and codes

Discount codes, sales (including buy-one-get-one offers), free-gift and free-shipping offers, welcome offers and similar promotions apply only as described at the time of the offer. They may have expiry dates, minimum spends and usage limits, and may not be combinable. Promotions have no cash value, may not be transferred or resold, and may be changed or ended at any time. Free items supplied under a promotion are research Products subject to these Terms.

Reward points earned through our loyalty program have no cash value, are not property, may only be redeemed as the program allows, and may be adjusted or reversed for returned, refunded, cancelled or fraudulent orders. We may change or end the program at any time. Promotions and rewards obtained by fraud, abuse, multiple accounts or a breach of these Terms may be cancelled and orders voided.

11.Shipping and risk of loss

Delivery times are estimates, not guarantees. Same-day dispatch applies only to eligible orders placed before the stated cutoff on business days. Title and risk of loss pass to you when the Products are handed to the carrier. Please inspect packages on arrival and report damaged, missing or incorrect items as our Refund & Returns Policy describes. You are responsible for making sure Products may lawfully be imported into, and possessed at, your shipping destination. We may decline to ship to any location.

12.Returns and refunds

Because of their nature, and to protect product integrity, Products generally cannot be returned once shipped, except as stated in our Refund & Returns Policy (for example, items that arrive damaged or incorrect). That policy forms part of these Terms.

13.Accounts

You are responsible for keeping your login details confidential and for all activity under your account. Tell us promptly at support@qureshilabs.com if you suspect unauthorized use. We may suspend or close accounts that breach these Terms.

14.Partner and affiliate program

Partners, affiliates and creators who promote Qureshi Labs must follow these Terms and any partner agreement. Promotional content must present Products as research chemicals for laboratory use only. It must include an appropriate research-use-only disclaimer and must never show, suggest or describe human or animal use, dosing, or health, medical, cosmetic or performance benefits. We may withhold commissions, remove content and end participation for any breach.

15.Assumption of risk and indemnity

You assume all risks associated with the purchase, possession, handling, use, storage, transfer and disposal of the Products. You agree to defend, indemnify and hold harmless Qureshi Labs LLC and its owners, members, officers, employees, contractors, suppliers and partners from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of any Product, including any human or veterinary use; (b) your breach of these Terms or of any law; (c) any transfer of Products by you to a third party; or (d) any content you post or provide.

16.Disclaimer of warranties

The Site and the Products are provided “as is” and “as available.” To the fullest extent permitted by law, Qureshi Labs disclaims all warranties, express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Products are safe or effective for any use in humans or animals. No statement by us or our staff creates any warranty not expressly stated in these Terms.

17.Limitation of liability

To the fullest extent permitted by law, Qureshi Labs and its owners, members, officers, employees, suppliers and partners will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any personal injury, illness or death arising from any misuse or human or veterinary use of the Products. They will also not be liable for loss of profits, data or goodwill, however caused, even if advised of the possibility. Our total liability for any claim relating to the Site or any Product will not exceed the amount you paid us for the Product giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. In that case, our liability is limited to the smallest extent the law allows.

18.Compliance with laws

You are solely responsible for knowing and complying with all laws and regulations that apply to you and to the Products, including any import, export, controlled-substance, licensing or institutional requirements. We do not knowingly sell to anyone who is legally prohibited from purchasing the Products.

19.Website use and intellectual property

The Site and its content, including text, graphics, logos, product images, COA layouts and software, are owned by or licensed to Qureshi Labs and protected by intellectual property laws. You may view and print pages for your own personal, non-commercial reference. You may not copy, scrape, reproduce, modify, distribute or create derivative works from Site content without our prior written permission. “Qureshi Labs” and our logos are our trademarks.

20.Privacy

Our Privacy Policy explains how we collect, use and protect your personal information, including the age and research declarations you make on the Site.

21.Governing law and disputes

These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-law rules. You agree that any dispute arising out of or relating to these Terms, the Site or the Products will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts. Any claim must be brought in your individual capacity, not as a plaintiff or class member in any class or representative proceeding, to the extent permitted by law.

22.General terms

• Entire agreement. These Terms, together with the policies they reference, are the entire agreement between you and us about their subject matter.
• Severability. If any provision is found unenforceable, it will be enforced to the maximum extent possible and the rest will remain in effect.
• No waiver. Our failure to enforce any provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
• Survival. Sections on research use, prohibited uses, safety, indemnity, warranties, liability and governing law survive any termination and the completion of any sale.

23.Changes to these terms

We may update these Terms from time to time. The updated version takes effect when posted on this page with a new effective date. Orders are governed by the Terms in effect when the order was placed. Continued use of the Site after changes means you accept the updated Terms.
